1. Acceptance of Terms

By accessing or using HiNow's services, including our AI models, APIs, platform, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Services

HiNow provides artificial intelligence services including:

  • Access to proprietary AI models (HiNova, HiQuantum, HiVision, HiCode, HiGenesis)
  • APIs for integrating AI capabilities into applications
  • Platform for creating and managing AI agents
  • Chat interfaces for direct interaction with AI models
  • SDKs and developer tools

3. Account Registration

To use certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services to generate harmful, abusive, or illegal content
  • Attempt to reverse engineer, decompile, or extract the underlying models
  • Use the Services to develop competing AI models or services
  • Circumvent any usage limits, rate limits, or access controls
  • Use the Services in ways that could harm minors
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the integrity or performance of the Services
  • Use automated means to access the Services except through our official APIs

5. Intellectual Property

The Services, including all AI models, software, algorithms, and documentation, are owned by HiNow and protected by intellectual property laws. You retain ownership of the content you submit to the Services ("Input") and the output generated by the Services based on your Input ("Output"), subject to your compliance with these Terms.

You grant HiNow a limited license to use your Input solely to provide and improve the Services. We do not use your Input to train our models unless you explicitly opt in to such usage.

6. API Usage and Rate Limits

API access is subject to rate limits and usage quotas based on your subscription plan. You agree to implement appropriate error handling and respect rate limits. Excessive usage or abuse may result in temporary or permanent suspension of API access.

7. AI Agents

When creating AI agents using our platform, you are responsible for:

  • Ensuring agents operate within acceptable use guidelines
  • Monitoring agent behavior and outputs
  • Implementing appropriate safeguards and human oversight
  • Any actions taken by agents you create or deploy

8. Payment and Billing

Certain Services require payment. By subscribing to a paid plan, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as explicitly stated in these Terms. We may change our fees upon 30 days' notice.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. HINOW DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. AI-GENERATED OUTPUTS MAY CONTAIN ERRORS OR INACCURACIES, AND YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING ANY OUTPUTS BEFORE USE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HINOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to indemnify and hold harmless HiNow and its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising out of your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will survive.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by other means. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
